全国人大代表、北京大学博雅特聘教授田轩认为，从目前已落地的案例观察，自《办法》实施后，投保机构（投资者保护机构，如中证投服中心，是《办法》中新增赋予公开征集提名独董资格的主体）已公开提名并选出多位上市公司独立董事。这在制度上拓宽了独董的来源渠道（即投保机构提名这一渠道），让独董立场更加中立，也更能代表中小投资者的利益。但目前这类实践的覆盖面仍然有限，整体效果不够突出，独董履职中的薪酬、信息获取、责任与保障等关键问题未根本解决。很多独董更像个“挂名角色”，没有真正起到监督作用。为此，他建议由中国证监会牵头指导设立独立董事协会，进一步健全上市公司治理体系，让独董真正做到“既独立，又懂事”。
